\u201c<\/em>A price is real only if someone has the right to say no.\u201d<\/em> <\/p>\n It begins with a man in a hurry. Patrick James sold the things America wears out without thinking about them\u2014windshield wipers, brake pads\u2014and his company, First Brands, swallowed up competitors on borrowed money. In September 2025, the debt could no longer keep pace. In the wreckage of the bankruptcy lay more than $8 billion in debt, $12 million in cash, and one discovery: the same inventories had been pledged as collateral to several lenders, each believing it alone held the claim. The same house, mortgaged three times to three banks that did not speak to one another. That same month, the auto lender Tricolor collapsed under a similar accusation. In October, Jamie Dimon supplied the moral of the age: \u201cWhen you see one cockroach, there are probably more.\u201d<\/p>\n Where were they hiding? In a house built after 2008. As banks grew more cautious, funds stepped in to fill the gap, lending to companies away from public markets and beyond public scrutiny. This is known as private credit\u2014a market worth somewhere between $2 trillion and $3.5 trillion, depending on how it is counted. The fact that no one knows the precise dimensions of the room is already a clue.<\/p>\n Its magic came down to a single line: every quarter, the lender itself determines the value of what it owns. There is no market to contradict it. The curve rose smoothly, delivering 9 to 10 per cent a year without a tremor. On a stock exchange, such regularity would trigger an investigation; here, it attracted subscriptions. The investor Cliff Asness found the phrase for it: \u201cvolatility laundering.\u201d And buried in the contracts sold to wealthy individuals was a clause in small print: no more than 5 per cent of the fund could be redeemed in any quarter. The kind of clause nobody reads in the years when nobody needs it.<\/p>\n A fiction does not die from an argument. It dies from a redemption request.<\/p>\n This winter, investors in Apollo Debt Solutions sought to withdraw 16.8 per cent of the fund\u2019s capital. The redemption window opened for only 5 per cent. Everyone was paid pro rata: five out of sixteen-point-eight, or thirty cents for every dollar requested, with the balance pushed into the following quarter. In March, BlackRock returned only half the money investors had asked for. Ares capped withdrawals. Blue Owl permanently closed an overwhelmed vehicle.<\/p>\n By early June, the contagion had reached private equity. Partners Group rationed redemptions, sending its shares down 16 per cent in Zurich. Then Blackstone gave way: investors requested 10 per cent, and 5 per cent was paid.<\/p>\n Defenders point out that these limits had been written into the prospectuses from the outset, precisely to prevent managers from dumping loans that cannot be sold in a day. That is correct. It is also the definition of the problem: liquidity that exists only on condition that nobody tries to use it. A turnstile that works only for as long as no one leans against it.<\/p>\n What, then, are the loans behind the gate actually worth?<\/p>\n There is one final arbiter: related funds listed on the stock market, holding comparable claims but carrying prices set every morning by independent buyers. The verdict is severe. Most trade below the values recorded by their managers, in some cases by as much as 25 per cent.<\/p>\n According to Reuters and S&P, 28 of 53 listed funds posted losses in the first quarter, compared with 12 a year earlier. They were weighed down in particular by loans to software companies whose business models are being weakened by artificial intelligence. A growing proportion of borrowers are no longer paying their interest in cash; they simply add it to the tab. Nothing illegal about that\u2014a problem today disguised as a loss for the day after tomorrow.<\/p>\n How large might that loss eventually become? The rating agency KBRA expects defaults of 2 per cent this year. Under a stress scenario, UBS puts the figure as high as 15 per cent. When experts differ by a factor of seven, only one thing has been demonstrated: no one knows how to price the risk.<\/p>\n There remained one piece of evidence for the defence. The vehicle whose door Blue Owl had locked eventually sold its loans to genuine buyers\u2014pension funds including CalPERS and OMERS. The price paid was 99.7 cents on the dollar. On the day a real market price finally existed, it came close to vindicating the managers.<\/p>\n This is where one must pause, because it overturns the moral of the story.<\/p>\n There are two ways to lie in finance: about the value of an asset, or about the door through which investors can leave it. This spring has not yet proved the first. It has established the second. And that may be more serious. One can live with a disputed valuation. One cannot build a savings system around an emergency exit painted onto the wall.<\/p>\n Nor did the money come only from the wealthy. According to the Office of Financial Research, banks have extended some $123 billion in credit lines to the sector. Insurers have placed part of retirement savings there. And these funds finance the very software companies now threatened by artificial intelligence.<\/p>\n The Federal Reserve considers the risk \u201climited and manageable\u201d\u2014an accurate formulation, so long as only one thread snaps at a time. Comparing this spring with 2008 remains excessive. Regarding the comparison as unthinkable no longer does.<\/p>\n The redemption windows reopen in September, with the gate only partly raised. A price is real only if one can say no; an exit exists only if one can pass through it. Private credit has spent a season relearning the second half of that sentence.
